Zappkit Affiliate Program Terms & Conditions

By signing up for the Zappkit Affiliate Program, you (“Affiliate”) agree to the following Terms and Conditions with Threnna ehf (“Company”, “We”, “Us”).

1. Approval & Enrollment

• Application: We reserve the right to approve or reject any affiliate application at our sole discretion.
• Ineligibility: Sites that promote violence, discrimination, illegal activities, or make unsubstantiated medical claims are strictly prohibited.
• Approval does not guarantee continued participation. Continued eligibility is subject to ongoing compliance with these Terms.

2. Medical Claims & Compliance

• No “Cure” Claims: You may NOT market Zappkit or the Z-Amplifier as a “cure” for cancer, diabetes, or any other disease. You must describe it as a tool for “wellness,” “experimental frequency research,” “relaxation,” or “holistic support.”
• Regulatory Adherence: You agree not to make claims that would classify the device as a regulated medical device under FDA, EMA, or local health authority rules.
• Liability: You are personally liable for any false claims you make.
• Testimonials, anecdotes, or personal experiences may not be framed as medical outcomes, diagnoses, or treatment results.
• We reserve the right to require immediate removal or modification of any content that violates this section.
• Zappkit reserves the right to terminate your account immediately if you violate this policy or fail to comply with change requests.

3. Commissions & Payouts

• Commission Structure: Commission rates are determined by the Affiliate’s assigned tier and monthly volume and may vary over time. Current commission rates, tiers, and qualification criteria are published in the Affiliate Portal and may be updated at Zappkit’s discretion.
• Commission Attribution: Affiliate commissions apply only to purchases completed on Zappkit-owned checkout systems, regardless of customer geographic location or the existence of reseller or distributor territories.
• Exclusions: Commission is not paid on:
  • Taxes, shipping costs, or customs fees.
  • App revenue (processed via Apple App Store / Google Play).
  • Returns or chargebacks (commissions will be deducted).
• Payout Schedule: Payouts are made monthly via PayPal transfer once your balance exceeds $50.
• Cookie Duration: Tracking cookies are valid for 90 days from the first click.
• Commissions may be withheld until after the applicable return and refund window of 90 days has elapsed.
• Self-referrals, fraudulent transactions, or artificially generated traffic are prohibited and will result in commission forfeiture.
• Zappkit will not retroactively reduce or increase commissions for completed and valid transactions that occurred prior to a commission tier change.
• All commissions are calculated and paid in USD.

4. Promotion Restrictions

• PPC Bidding: You are prohibited from bidding on our brand keywords (e.g., “Zappkit,” “Z-App,” “Z-Amplifier”, and any variations or misspellings thereof) on Google Ads, Facebook Ads, Bing, or other paid search platforms. You must add these as negative keywords in your campaigns.
• Future Keyword Exclusions: We reserve the right to expand the list of prohibited brand keywords at any time. Upon written notice or a general update to the Affiliate Portal, you agree to immediately relinquish the use of any newly designated terms and add them to your negative keyword list within 48 hours of the request. Failure to comply with these requests will result in the suspension of your commissions.
• Coupon Spam: You may not post your affiliate link on “coupon sites” or “discount code” aggregators.
• Impersonation: You cannot create social media accounts or websites that look like the official Zappkit channels (e.g., zappkit-official-usa.com is forbidden).
• You may not register domain names containing “Zappkit,” “Z-App,” “Z-Amplifier,” or confusingly similar variations.

5. FTC & Disclosure

• Transparency: In compliance with FTC guidelines (and local equivalents), you must clearly disclose your relationship with us.
  • Example: “I may earn a commission if you buy via this link.” or use hashtags like #ad or #affiliate.
• Affiliates are responsible for complying with local advertising and consumer protection laws applicable in their jurisdiction.

6. Termination

• At-Will: We may end this agreement at any time, with or without cause.
• For Cause: If you violate the Medical Claims policy (Section 2), you forfeit all pending commissions and are banned permanently.
• Upon termination, any unpaid commissions may be withheld if associated with violations, refunds, or suspected non-compliance.

7. Governing Law

• These Terms are governed by the laws of Iceland. Any disputes shall be resolved exclusively in the District Court of Reykjavík.

8. No Guarantees

• We do not guarantee any level of income or success. Earnings depend on individual effort, audience, and market conditions.

9. Compliance & Audit Rights

• We may review affiliate promotions at any time to ensure compliance. Failure to provide requested links or materials within a reasonable timeframe may result in suspension of your account and forfeiture of commissions.

10. Survival

• Sections related to Medical Claims & Compliance, Liability, Promotion Restrictions, and Brand Protection shall survive termination of this Agreement.

11. Territory & Channel Separation

Zappkit may operate reseller and/or distributor programs with geographic or channel-based exclusivity. Such exclusivity applies only to reseller- or distributor-operated sales channels. Affiliate commissions apply solely to purchases completed on Zappkit-owned checkout systems and are not affected by reseller or distributor territories.
